Welcome to the services provided by Mitikaz Company Limited (“Mitikaz,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our websites, mobile applications (including Cashless Biller), platforms, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Services Overview

Mitikaz provides software and technology solutions for businesses, including but not limited to:

  • Cashless — A billing solution enabling seller-initiated payments via mobile money
  • Bima Plus — Insurance industry tools with automated underwriting, claims management, and WhatsApp chatbot functionality
  • PiCortex — A business management platform for SMEs
  • Chatbot Solutions — WhatsApp Business API (WABA) integrations
  • TIOB — Business management tools

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

Some Services require you to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable local, national, or international law or regulation
  • Engage in fraud, money laundering, or any other financial crime
  • Transmit any malware, viruses, or harmful code
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any systems or networks connected to the Services
  • Use the Services in any manner that could damage, disable, or impair our infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use automated means (bots, scrapers, etc.) to access the Services without our written consent

5. Payment and Billing

Certain Services may be subject to fees. Where applicable:

  • All fees are quoted and payable in the currency specified at the time of purchase
  • You agree to pay all fees and charges associated with your account
  • Fees are non-refundable except as expressly stated in these Terms or required by law
  • We reserve the right to modify pricing with reasonable advance notice

For mobile money transactions processed through Cashless, standard mobile network operator charges may apply. Mitikaz is not responsible for any fees charged by your mobile money provider.

6. Mobile Money and Financial Transactions

If you use our payment-related Services (including Cashless):

  • You acknowledge that transactions are processed through third-party mobile money providers and payment processors
  • You are responsible for ensuring sufficient funds are available for transactions
  • Transaction processing times are subject to the policies of the relevant mobile money or payment provider
  • We are not liable for delays, failures, or errors caused by third-party payment providers or network issues
  • You agree to comply with all applicable financial regulations in your jurisdiction

7. Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, and trademarks associated with the Services are owned by Mitikaz Company Limited or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of our Services or software without our prior written consent.

8. User Content

You retain ownership of any data or content you submit through the Services (“User Content”). By submitting User Content, you grant Mitikaz a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely for the purpose of providing and improving the Services.

You represent that you have the right to submit any User Content and that it does not infringe on third-party rights.

9. Data Protection and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using our Services, you consent to the practices described in our Privacy Policy.

We are committed to compliance with applicable data protection laws, including the Tanzania Data Protection Act and any other relevant regulations in the jurisdictions where we operate.

10. Third-Party Services

Our Services may integrate with or contain links to third-party services (including mobile money providers, WhatsApp Business API, and other platforms). These third-party services are governed by their own terms and privacy policies. Mitikaz is not responsible for the content, policies, or practices of any third-party services.

11. Service Availability and Modifications

We strive to maintain reliable and uninterrupted access to our Services, but we do not guarantee that the Services will be available at all times. We may:

  • Temporarily suspend access for maintenance, updates, or security reasons
  • Modify, update, or discontinue any feature of the Services at any time
  • Introduce new features or services subject to these Terms

We will make reasonable efforts to provide advance notice of any significant changes or planned downtime.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be error-free, secure, or uninterrupted, or that any defects will be corrected.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MITIKAZ COMPANY LIMITED, ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid to Mitikaz for the Services in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Mitikaz Company Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Services ceases immediately
  • We may delete your account and associated data, subject to applicable data retention laws
  • Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall remain in effect

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising out of or relating to these Terms or the Services shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to the competent courts of Tanzania.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. We will notify users of material changes through our Services or by other reasonable means. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
